Reporting of Beneficial Ownership Information:
Beginning January 1, 2024 certain types of corporations, limited liability companies and other similar entities created in or registered to do buisness in the United States must report information about their beneficial owners.
A reporting company created or registered to do business before January 1, 2024, will have until January 1, 2025 to file its initial beneficial ownership information report. Reporting companies created or registered on or after January 1, 2025, will have 30 calendar days from actual or public notice that the company’s creation or registration is effective to file their initial BOI reports with FinCEN.
Penalties: The fine for willfully failing to complete an initial or an updated report is $500 per day up to $10,000 and imprisonment for up to two years. The fine for knowingly disclosing or using BOI without authorization is $500 per day, up to $250,000 and imprisonment for up to five years.
